Jody L. Spencer

Overview

Jody Spencer is a partner in the corporate group whose practice is focused primarily on representing public and private companies in mergers and acquisitions and securities, corporate law and tax matters.

Jody has experience in a wide range of corporate transactions, including mergers and stock and asset acquisitions, representing both buyers and sellers, as well as in representing clients in connection with their capital-raising activities. His practice also involves analysis and planning concerning federal and state tax matters, particularly as they relate to the formation of business entities and the structuring of transactions.

Representative Experience

• Representation of a NYSE-listed packaging products company in connection with its recent $850 million strategic acquisition
• Representation of a NASDAQ-listed bank holding company in connection with multiple acquisitions of community banks, as well as in follow-on and TARP offerings
• Representation of a NASDAQ-listed consumer products company in connection with multiple acquisitions
• Representation of a large multi-state skilled nursing facility company in connection with the sale of a controlling interest to non-U.S. investors
• Representation of a private equity fund in connection with its acquisition of a human resources software and services company
• Representation of a NYSE-listed holding company in connection with its acquisition of two marine products companies
• Representation of a NASDAQ-listed company in connection with proxy contests
• Representation as corporate and tax counsel to a multi-national company in its business of the development, production, marketing, sale and distribution of English-language learning products and services
