Steven E. "Steve" Fox

Overview

Steven E. Fox, a founding partner of the Firm, has over 35 years of experience in corporate finance, corporate governance, mergers and acquisitions and securities work for public and privately-held companies in the U.S. and abroad, including representation of issuers, underwriters, bidders, target companies, financial advisors, boards of directors and board committees. Mr. Fox’s experience includes representation of both buyers and sellers in a number of different industries and involvement in numerous public and private equity and debt offerings and other capital markets transactions, as well as providing a wide range of advice to independent directors, board committees and management in connection with change of control transactions and corporate governance matters.

• Represented multinational NYSE-listed bank holding company in connection with a multi-billion dollar disposition transaction
• Represented NYSE-listed financial services company in connection with its initial public offering
• Represented NASDAQ-listed company in acquisition of division of publicly-held seller
• Represented private equity fund in acquisition of portfolio company
• Represented private equity fund in connection with its formation and capital raise of $250 million
• Representation of corporate governance committee of a major utility
• Represented public company in sale of substantially all of its assets in a cross-border transaction
• Represented major foreign client in connection with various strategic alliances
• Represented NASDAQ-listed company in connection with a proxy contest and corporate governance dispute
• Represented NASDAQ-listed company in a follow-on public offering
