EXPERIENCE AND SKILL

Rogers & Hardin has a long history of representing financial institutions. From large publicly-traded enterprises to local community banks, our lawyers have provided counsel to financial institutions of all shapes and sizes in a broad range of matters, including mergers and acquisitions, litigation, corporate governance, securities, regulatory compliance, real estate, tax and labor and employment. In these engagements, we have represented boards of directors, special committees, officers, financial advisors, stockholders, investors and others. In transactional matters, we have represented buyers and sellers, as well as subsidiary entities being positioned for a sale or an IPO. Our litigators also represent our financial institution clients in matters before state and federal trial and appellate courts, in arbitration and other alternative dispute resolution proceedings, and in state and federal regulatory proceedings.

  • Represented multinational NYSE-listed bank holding company in connection with a multi-billion dollar disposition transaction
  • Represented NYSE-listed financial services company in connection with its initial public offering
  • Representation of a NASDAQ-listed bank holding company in connection with multiple acquisitions of banks, including FDIC-assisted transactions
  • Representation of a NASDAQ-listed bank holding company in connection with follow-on and TARP offerings
  • Representation of major financial institutions in cases adjudicated in the federal and state courts and in various arbitration forums, including the NASD, NYSE and AAA
  • Representation of major financial institutions in defending various class actions and individual cases involving alleged fraud issues, corporate and board investigations, and alleged financial and accounting irregularities
  • Representation as co-lead defense counsel in a predatory lending class action in North Carolina
  • Representation of national, regional and local financial institutions in connection with civil litigation and regulatory matters stemming from complex misappropriation and Ponzi schemes
  • Represented a national mortgage lender in a series of related cases alleging predatory lending
