Corporate Control Disputes

We regularly represent corporations, partnerships and LLCs (as well as their shareholders, partners and members) in a diverse array of disputes relating to corporate control. These matters include shareholder disputes, disputes regarding purchase-sell agreements, partner disputes, and disputes among LLC members. We have litigated matters involving large publicly-traded corporations as well as closely-held corporations, and we have represented both control and minority owner groups. We regularly litigate shareholder derivative actions, and we are frequently asked to represent and advise special committees who are charged with investigating and responding to shareholder demands for corporate action.

We have handled corporate control disputes in an array of different business sectors, including the hospitality industry, professional services industry, financial services industry and sports teams. In all of these matters, our challenge is always to determine what strategy best suits our clients’ objectives and how best to execute that strategy in an efficient, cost-effective manner.

Recent High-Profile Corporate Control Dispute

  • Client: Majority owners of the Atlanta Hawks and Atlanta Thrashers.
  • Challenge: Defend an action seeking a judicial declaration that our clients had breached a purchase-sell agreement and defend against Plaintiff’s claim for more that $150,000,000.
  • Outcome: After trial, we succeeded in obtaining a decision from the Court that the purchase and sale agreement was unenforceable for want of a material term, and Plaintiff recovered nothing.
